The number of parts, their amount and payment dates are set out in the offer accepted by the Client; the Client pays the first part within the time limit set out in section 4. If payment of a subsequent part is late, the Service Provider may, after an unsuccessful request for payment, suspend further Lessons until it is paid.

2. The validity period of a Lesson Package runs from the day of conclusion of the Agreement whose subject is the Lesson Package.

3. The dates of individual Lessons are agreed by the Client and the Service Provider. Lessons not used within the validity period of the Lesson Package for reasons attributable to the Client expire at the end of that period, unless the parties agree to extend it before it ends.

4. If a Lesson did not take place for reasons attributable to the Service Provider, the Client retains the right to take it on another agreed date, and the validity period of the Lesson Package is extended accordingly. If it is not possible to hold the Lesson on another date, the Service Provider refunds the Client the price of the unused Lesson.

§ 10. CANCELLING AND RESCHEDULING LESSONS

1. The Client may cancel or reschedule an individual Lesson or a Lesson in a pair free of charge by notifying the Service Provider no later than 24 hours before the planned start of the Lesson – by e-mail, by phone or via WhatsApp. A Lesson cancelled within this time limit is not counted towards the Lesson Package and may be taken on another agreed date within the validity period of the Lesson Package.

3. Group classes (group courses and the conversation club) take place according to the group schedule set by the Service Provider. The absence of a participant does not cause the group’s classes to be rescheduled.

4. The Service Provider may cancel a Lesson for important reasons (e.g. illness of the teacher, technical failure), informing the Client promptly, where possible no later than 24 hours before its planned start. In such a case § 9 section 4 applies.

§ 11. REFERRAL PROGRAMME

1. A Client who recommends the Educational Services to a person who has not previously used the Service Provider’s services (hereinafter the “Referrer”) and the referred person (hereinafter the “Referee”) receive a discount on their next purchase of Educational Services.

2. The condition for granting the discounts is that the Referee names the Referrer no later than when concluding the first Agreement, and that the Referee concludes and pays for that Agreement. The Referrer receives a discount on the next purchase after this condition is met, and the Referee – on the purchase following the first paid Agreement.

3. The amount of the discount is set out in the Price List in force on the day the Referee concludes the first Agreement.

4. The discount cannot be exchanged for cash or transferred to another person.

5. The Service Provider may end the referral programme by announcing it on the Website. Ending the programme does not affect discounts granted before that day.

§ 12. ACCOUNT

1. The Account Electronic Service is provided free of charge for an indefinite period.

2. The Account is created for the Client by the Service Provider when an Agreement is concluded, if the Agreement includes access to educational materials in the Account. 6. The Account may be suspended for a definite period indicated by the Service Provider or for an indefinite period. The Service Provider unblocks the Account promptly after the reasons for its suspension cease, no later than within 10 calendar days.

7. If the suspension of the Account lasts longer than 30 calendar days and its reasons have not ceased, the Service Provider may terminate the agreement for the provision of the Account Electronic Service with the Service Recipient with a 7-day notice period. After the agreement is terminated, the Service Recipient’s Account is deleted.

§ 17. COMPLAINTS

1. Complaints relating to the operation of the Website, including complaints about Electronic Services, and complaints relating to the performance of the Agreement by the Service Provider may be submitted by the Client in particular by e-mail to langua@pol-langua.pl or in writing to the address indicated in § 16 section 2.

2. The Service Provider recommends including in the description of the complaint: (1) information and circumstances concerning the subject of the complaint, in particular the type and date of the irregularity; (2) the Client’s demand and (3) the contact details of the person submitting the complaint. This will make it easier and quicker for the Service Provider to consider the complaint. The requirements indicated in the previous sentence are only a recommendation and do not affect the effectiveness of complaints submitted without the recommended description.

3. The Service Provider responds to the complaint promptly, no later than within 14 calendar days of the day of its receipt, and provides the answer on paper or another durable medium (in particular by e-mail).

§ 18. WITHDRAWAL FROM THE AGREEMENT BY THE CONSUMER

1. This paragraph applies only to Clients who are Consumers and to the persons referred to in section 9.

2. A Consumer who has concluded an Agreement at a distance may withdraw from it within 14 days without giving any reason and without incurring any costs, except for the costs specified in section 6 (Art. 27(1) of the Consumer Rights Act).

3. The period for withdrawal from the Agreement starts on the day the Agreement is concluded (Art. 28(2) of the Consumer Rights Act). To meet the deadline, it is sufficient to send the statement before it expires (Art. 30(2) of the Consumer Rights Act).

4. The Consumer withdraws from the Agreement by submitting to the Service Provider a statement of withdrawal from the Agreement, in particular by e-mail to langua@pol-langua.pl or in writing to the address indicated in § 16 section 2. The statement may be submitted on the form whose model constitutes Annex 2 to the Consumer Rights Act; the model filled in with the Service Provider’s details is included at the end of the Terms of Service. Using the model is not mandatory. The Service Provider promptly sends the Consumer, on a durable medium (by e-mail), confirmation of receipt of a statement submitted electronically.

5. In the event of withdrawal from the Agreement, the Agreement is deemed not to have been concluded (Art. 31(1) of the Consumer Rights Act). The Service Provider, promptly and no later than within 14 days of receiving the Consumer’s statement of withdrawal from the Agreement, refunds to the Consumer all payments made by the Consumer, using the same method of payment as the Consumer used, unless the Consumer has expressly agreed to another method of refund that does not involve any costs for the Consumer (Art. 32(1) and (2) of the Consumer Rights Act). The amount refunded is reduced by the sum referred to in section 6, if such a sum has arisen.

6. If the Consumer wants the Service Provider to start providing the Educational Services (e.g. to hold the first Lesson) before the end of the withdrawal period, the Service Provider asks the Consumer to submit – in particular by e-mail – a statement: (1) containing an express request to start the provision of services before the end of the withdrawal period and (2) that the Consumer has acknowledged the information about losing the right of withdrawal from the Agreement once it has been fully performed by the Service Provider (Art. 21(2) of the Consumer Rights Act). A Consumer who exercises the right of withdrawal from the Agreement after making such a request is obliged to pay for the services provided until the withdrawal from the Agreement. The amount of payment is calculated in proportion to the scope of the services provided, taking into account the price agreed in the Agreement; if the price is excessive, the basis for calculating this amount is the market value of the services provided (Art. 35 of the Consumer Rights Act). In the case of a Lesson Package or a course, the scope of the services provided is determined in particular by the number of Lessons held until the withdrawal from the Agreement. If the Consumer has not made the request referred to in the first sentence, they do not bear the costs of the services provided for the period until withdrawal from the Agreement (Art. 36(1)(b) of the Consumer Rights Act).

7. The right of withdrawal from an Agreement concluded at a distance does not apply to the Consumer with regard to agreements: (1) for the provision of services for which the Consumer is obliged to pay the price, if the Service Provider has fully performed the service with the express and prior consent of the Consumer, who was informed before the start of the service that after its performance by the Service Provider they would lose the right of withdrawal from the Agreement, and acknowledged this (Art. 38(1)(1) of the Consumer Rights Act) – e.g. when, at the Consumer’s request, an ordered single Lesson, mock exam or oral exam simulation was held in full before the end of the withdrawal period; (2) for the supply of digital content not supplied on a tangible medium for which the Consumer is obliged to pay the price, if the Service Provider has started the performance with the express and prior consent of the Consumer, who was informed before the start of the performance that after its performance by the Service Provider they would lose the right of withdrawal from the Agreement, and acknowledged this, and the Service Provider has provided the Consumer with confirmation of the conclusion of the Agreement on a durable medium (Art. 38(1)(13) of the Consumer Rights Act).

8. The Service Provider informs that the right of withdrawal from the Agreement referred to in this paragraph is independent of the rules for cancelling Lessons set out in § 10.

9. The provisions of this paragraph concerning the Consumer also apply – with regard to Agreements concluded from 1 January 2021 – to a Client who is a natural person concluding an Agreement directly related to their business activity, when the content of that Agreement shows that it is not of a professional nature for that person, resulting in particular from the subject of their business activity made available under the provisions on the Central Register and Information on Economic Activity (Art. 7aa(1) of the Consumer Rights Act).

§ 19. OUT-OF-COURT METHODS OF HANDLING COMPLAINTS AND PURSUING CLAIMS AND THE RULES OF ACCESS TO THESE PROCEDURES

1. This paragraph applies only to Clients who are Consumers.

2. Detailed information on the possibility for the Consumer to use out-of-court methods of handling complaints and pursuing claims and on the rules of access to these procedures is available on the website of the Office of Competition and Consumer Protection (Urząd Ochrony Konkurencji i Konsumentów, https://uokik.gov.pl), in the section on out-of-court resolution of consumer disputes.

3. A contact point also operates at the President of the Office of Competition and Consumer Protection (tel. 22 55 60 333, e-mail: kontakt.adr@uokik.gov.pl, postal address: pl. Powstańców Warszawy 1, 00-950 Warszawa), whose tasks include helping consumers in matters concerning out-of-court resolution of consumer disputes.

4. The Consumer has in particular the following options for using out-of-court methods of handling complaints and pursuing claims: (1) an application for resolution of the dispute to a permanent consumer arbitration court operating at the voivodeship inspector of the Trade Inspection; (2) an application to initiate proceedings for out-of-court resolution of the dispute to the voivodeship inspector of the Trade Inspection (more information on the website of the inspector competent for the place where the Service Provider conducts business); (3) assistance from a district (municipal) consumer ombudsman or a social organisation whose statutory tasks include consumer protection (among others the Federacja Konsumentów and the Stowarzyszenie Konsumentów Polskich). Advice is provided among others by e-mail at porady@dlakonsumentow.pl and on the consumer helpline 801 440 220 (helpline open on working days between 8:00–18:00, call charges according to the operator’s tariff).

§ 20. PROVISIONS CONCERNING ENTREPRENEURS

1. This paragraph and all the provisions contained in it are addressed to and binding only on a Service Recipient who is not a Consumer and, with regard to Agreements concluded from 1 January 2021, a Service Recipient who is also not a natural person concluding an Agreement directly related to their business activity, when the content of that Agreement shows that it is not of a professional nature for that person, resulting in particular from the subject of their business activity made available under the provisions on the Central Register and Information on Economic Activity.

2. The Service Recipient’s resignation from paid functionalities of the Website during their term does not entitle them to a refund of the fee for the remaining period.

3. The Service Provider has the right to withdraw from the agreement for the provision of an Electronic Service concluded with the Service Recipient within 14 calendar days of the day of its conclusion. Withdrawal from the agreement in such a case may take place without giving a reason and does not give rise to any claims of the Service Recipient against the Service Provider.

4. The Service Provider may terminate the agreement for the provision of an Electronic Service with immediate effect and without giving reasons by sending the Service Recipient an appropriate statement.

5. The liability of the Service Provider towards the Service Recipient, regardless of its legal basis, is limited – both for a single claim and for all claims in total – to the amount of fees paid for using the Website during the last year, and in the absence of fees – to the amount of PLN 200.00 (two hundred zlotys). The Service Provider is liable towards a Service Recipient who is not a Consumer only for typical and actual damage foreseeable at the time the agreement was concluded, excluding lost profits.

6. The Service Provider is not liable towards the Service Recipient for damage and non-performance of obligations resulting from force majeure (e.g. hacker attacks, natural disasters, floods, fires, earthquakes, epidemics, riots and wars) or other causes beyond the Service Provider’s control.

7. All disputes arising between the Service Provider and the Service Recipient are resolved by the court competent for the registered office (place of business) of the Service Provider.

§ 21. TECHNICAL BREAKS

1. The Service Provider makes every effort to ensure the correct and uninterrupted operation of the Website and the possibility of using Electronic Services. Due to the complexity of the Website and the Electronic Services and to external factors beyond the Service Provider’s control (e.g. DDoS attacks – distributed denial of service), errors and technical failures may nevertheless occur that prevent or limit the operation of the Website and the possibility of using Electronic Services. In such a case the Service Provider will take all possible measures to minimise the negative effects of such events.

2. The Service Provider promptly informs Service Recipients about the errors and technical failures referred to in section 1 and about the expected time of their removal.

3. In addition to breaks caused by errors and technical failures, there may also be other technical breaks during which the Service Provider takes measures aimed at developing the Website and protecting the Website and the Electronic Services against errors and technical failures.

4. The Service Provider plans technical breaks so that they are as little inconvenient as possible for Service Recipients, in particular at night and only for the time necessary to carry out the necessary work. The Service Provider informs Service Recipients about planned technical breaks sufficiently in advance, also stating their expected duration.

5. The Service Provider is not liable towards the Service Recipient for damage and non-performance of obligations resulting from technical errors, failures and technical breaks referred to in this paragraph. However, this paragraph does not exclude or limit the rights of a Service Recipient who is a Consumer (or a natural person to whom the provisions concerning Consumers apply) provided for by mandatory provisions of law, in particular with regard to the Service Provider’s liability.

§ 22. COPYRIGHT

1. The copyright and intellectual property rights to the Website as a whole and to its individual elements, including the content, graphics, works, designs and signs available on it, belong to the Service Provider or to authorised third parties from whom the Service Provider has obtained the relevant consents, and are protected under the Copyright Law and other provisions of generally applicable law. The protection granted to the Website covers all forms of its expression. Trademarks of the Service Provider and of third parties should be used in accordance with applicable law.

2. For the avoidance of doubt: a Service Recipient using the Website does not acquire any economic copyrights to the content of the Website. The Service Provider grants the Service Recipient a free, non-exclusive and non-transferable licence to use this content to the extent and in the fields of exploitation necessary to use the functionalities of the Website in accordance with their purpose.

§ 23. FINAL PROVISIONS

1. Agreements concluded via Pol-Langua.pl are concluded, at the Client’s choice, in Polish or English.

2. The Terms of Service are also made available on the Website in other language versions. In the event of discrepancies between the Polish version and a translation, the Polish version prevails.

3. The Service Provider reserves the right to amend the Terms of Service for important reasons, i.e. in the event of: a change in the law; the addition or modification of Electronic Services or Educational Services; a change in the methods and dates of payment – to the extent that these changes affect the implementation of the provisions of these Terms of Service.

4. In the case of continuing agreements concluded on the basis of the Terms of Service (e.g. agreements for the provision of the Account Electronic Service), the amended Terms of Service are binding on the Service Recipient if the requirements set out in Art. 384 and 3841 of the Civil Code have been met, i.e. the Service Recipient has been properly notified of the changes and has not terminated the agreement within 15 calendar days of the day of notification. If the amendment of the Terms of Service would result in the introduction of new fees or an increase in existing ones, the Service Recipient has the right to withdraw from the agreement.

5. Otherwise, amendments to the Terms of Service do not infringe the rights acquired by Service Recipients before the date on which the amendments enter into force, in particular they do not affect orders already placed or Agreements concluded, being performed or performed. Agreements concluded before the date on which the amendments enter into force are governed by the Terms of Service in the wording in force on the date of their conclusion.

6. This version of the Terms of Service is in force from 5 October 2026.

7. In matters not regulated by these Terms of Service, the generally applicable provisions of Polish law apply, in particular the Civil Code, the Act of 18 July 2002 on the Provision of Electronic Services (consolidated text Dz.U. 2024 item 1513) and the Consumer Rights Act, as well as other relevant provisions of law.
